This Terms of Use Agreement ("Agreement") governs the use of the Ready Receipts Website.
Ready Receipts is a website that provides consumers online access to receipt sent to Ready Receipts by participating merchants.
This Agreement is a legal contract between Ready Receipts, LLC, an Idaho Limited Liability Company, (referred to in this Agreement as "we," "us," "the Website," "Company" or "Ready Receipts") and you, the user of this Website (referred to in this Agreement as "User" or "you"). This Website may be used only by persons who have accepted the terms of this Agreement. If you do not intend to accept this Agreement you should refrain from using this Website or related services in any manner.
Modifications
User is responsible for compliance with the most recent version of this Agreement. The Terms of Use Agreement was last modified on January 7, 2012.
We reserve the right at all times to discontinue or modify any portion of this Agreement as we deem necessary or desirable. Any changes will be effective upon our posting them to the Website. We suggest you therefore re-read this Agreement from time to time in order that you stay informed as to any such changes. Any use of the Website by User after such posting shall be deemed to constitute acceptance by User of such modifications.
General Terms of Use for Ready Receipts
1. Acceptance.
Accessing or otherwise using this Website constitutes acceptance of the terms of this Agreement by User and by parties on whose behalf or for whose benefit User accesses or otherwise uses this Website ("User's Principals"). User represents and warrants that he or she is authorized to enter into this Agreement and bind User's Principals to the terms of this Agreement. Unless otherwise specified, references to "User" in this Agreement shall be construed to also refer to User's Principals.
2. Permission for use.
Persons who have accepted this Agreement are granted permission to use this Website for its intended purposes subject to the terms of this Agreement. Use of certain components of this Website may be subject to additional terms. To the extent that such additional terms provide for additional limitations or restrictions on use of this Website, such limitations and restrictions shall be in addition to those provided under this Agreement. Certain sections of this Website may be restricted, in which event use of those sections is prohibited unless specific permission to access those sections is given by Ready Receipts. User also agrees to comply with all applicable laws in connection with his or her use of this Website.
3. Termination.
Ready Receipts may revoke User's permission to use all or any part of this Website at any time for any reason at its own discretion. User's permission to use this Website shall automatically terminate in the event that User violates this Agreement.
4. Content.
While Ready Receipts makes every effort to adhere to security best practices (encryption, authentication, validation), the User understands that information transmitted over the Internet such as email, may not be secure and may include personal or confidential information about User such as User's name. Deliverability of any email or mobile message may be delayed or impacted by factor(s) pertaining to User's Internet service provider(s), phone carriers, or other parties. Ready Receipts will not be liable for (a) losses or damages arising from any non-delivery, delayed delivery, or misdirected delivery of the messages, or (b) inaccurate content or data in the messages.
5. Privacy.
Ready Receipts takes what it believes to be reasonable measures to ensure the security of information provided by or on behalf of User in connection with this Website but Ready Receipts cannot guarantee such security, and Ready Receipts shall not be responsible for a compromise of User information. Any information collected by Ready Receipts will be subject to Ready Receipts Privacy Policy as modified from time to time. User acknowledges and agrees that User has reviewed and agreed to the terms of the Ready Receipts Privacy Policy.
6. Changes to Website.
Ready Receipts may modify, append or delete any portion of this Website at any time and for any reason. Modifications may include, but are not limited to: content, functionality, hours of availability, registration requirements, the domain name addresses through which this Website is accessible, or the equipment needed for its use. Changes made to this Website, at any time and for any reason in the sole discretion of Ready Receipts.
7. Limitation of Availability.
The availability of this Website is limited by scheduled and unscheduled downtime for the performance of maintenance and repairs. Availability is further limited by interruptions beyond the control of Ready Receipts, including failure of telecommunication links and failure of Internet infrastructure. User acknowledges and agrees that Ready Receipts shall not be responsible for any interruptions of the availability of this Website.
8. DISCLAIMER OF WARRANTIES.
THIS WEBSITE IS PROVIDED "AS-IS" WITH ALL FAULTS AND ERRORS. Ready Receipts DISCLAIMS TO THE MAXIMUM EXTENT PERMITTED BY LAW ALL WARRANTIES RELATING TO THIS WEBSITE, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, WARRANTIES AGAINST INFRINGEMENT OR INTERFERENCE WITH ENJOYMENT, OR WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. BY WAY OF ILLUSTRATION WITHOUT LIMITATION, Ready Receipts MAKES NO WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE MATERIAL, SERVICES, SOFTWARE, TEXT, GRAPHICS, AND LINKS. 10. Indemnity.
You agree to indemnify, and hold harmless Ready Receipts, its officers, directors, employees and agents, from and against any claims, actions or demands, including but not limited to reasonable legal and accounting fees, alleging or resulting from your use of the Material or your breach of the terms of this Agreement. Ready Receipts shall provide notice to you promptly of any such claim, suit, or proceeding and shall assist you, at your expense, in defending any such claim, suit or proceeding.
11. Proprietary Rights.
User acknowledges and agrees that the Website contains data, information, graphics, etc, design elements, images, code, underlying technology and related information that are proprietary to Ready Receipts (or its licensors and vendors if applicable) and protected by U.S. and international copyright laws, trade secret laws, trademark laws and other laws. The posting of information and other content on this Website by Ready Receipts does not constitute a waiver of any rights to that information and content. This Agreement does not provide User with any right or interest in the proprietary rights held by Ready Receipts et al, related to this Website or related services. All such rights shall continue to be held by Ready Receipts (or its licensors or vendors if applicable).
12. Abuse.
User is prohibited from breaching or attempting to breach the security of the Website. Prohibited activities include, but are not limited to (a) purposely accessing data not intended for User. b) Logging into a server or account for which User is not authorized. (c) Probing, scanning or testing potential vulnerabilities of a system or network, or attempting to do so for the purpose of breaching security or authentication measures. (d) interfering with service to any other person, host or network, or attempting to interfere using strategies that include but are not limited to: submitting a virus to the Website, overloading, "flooding", "spamming", "mail-bombing" or "crashing". (e) sending unsolicited email, including promotions and/or advertising of products or services, or (f) forging any TCP/IP packet header or any part of the header information in any email or newsgroup posting. Violations of system or network security may result in civil or criminal liability. Ready Receipts will investigate all occurrences which may involve such breaches or attempts to breach security and will involve, and cooperate with, law enforcement authorities to prosecute involved persons.
13. User Submissions.
User is responsible for all his or her submissions. User is prohibited from the following activities: submission of content that is copyrighted by parties other than User, submission of content that reveals trade secrets not owned by User, submission of content that infringes on any other intellectual property rights of others or on the privacy or publicity rights of others, submission of content that is obscene, defamatory, threatening, harassing, abusive, hateful, or embarrassing to any other person or entity. Submission of content that is sexually-explicit, submission of content that constitutes the impersonation of any party or business.
14. Integration.
This electronic document contains the entire Terms of Use Agreement between the identified parties. Oral statements shall be of no binding effect. The Terms of Use Agreement supersedes any conflicting documents or information. This document is the sole source of definition and specification of the obligations of Ready Receipts.
15. Jurisdiction.
The services provided this Website are offered from Ada County in the State of Idaho and intended only for use in the United States. Ready Receipts makes no claims that the Materials may be lawfully viewed or downloaded outside of the United States. Access to the Materials may not be legal by certain persons or in certain countries. If you access the Website from outside of the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. This Agreement is governed by the internal substantive laws of the State of New York, without respect to its conflict of laws principles. Jurisdiction for any claims arising under this Agreement shall lie exclusively with the state or federal courts within New York.
16. Severability of Provisions.
If any provision of this Agreement is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, except as expressly provided in a particular "Legal Notice," or Software License or Material on particular web pages. This document constitutes the entire Agreement between you and Ready Receipts with respect to the use of Website. No changes to this Agreement shall be made except by a revised posting on this page.
